1. Acceptance & Definitions
These Standard Trading Conditions constitute a binding agreement between Northern Logistics International ("the Company", "we", "us") and any individual, corporate enterprise, shipper, consignee, or agent ("the Customer", "you") utilizing our air freight, ocean freight, warehousing, customs brokerage, or door-to-door delivery services.
Key definitions:
• "Air Freight": International express carriage connecting China airports to Hazrat Shahjalal International Airport (DAC), Dhaka.
• "Sea Freight (LCL/FCL)": Ocean containerized freight connecting ports in China (Shenzhen, Ningbo, Guangzhou) to Chittagong Port (CGP) or Mongla Port.
• "Door-to-Door (D2D)": Comprehensive turnkey solution incorporating China factory receipt, international transit, Bangladesh customs clearance, and final-mile delivery.
• "Consignment / Cargo": All cartons, pallets, crates, and merchandise tendered under a single tracking number or Airway Bill.
2. Declarations & Packaging Standards
The Customer warrants and guarantees the following regarding every cargo consignment tendered:
• Accuracy of Description: The Customer must provide an exact, truthful item description, piece count, unit value, and manufacturer specifications on all packing lists and invoices.
• Export & Import Packaging: All merchandise must be packed sufficiently to withstand normal air/ocean handling, stacking, and multimodal transport. Fragile, glassware, or electronic goods must feature interior bubble cushioning and sturdy wooden crating.
• Concealment Liability: Any undeclared, misclassified, or concealed contraband found within a consignment will result in immediate confiscation, forfeiture of carriage fees, and referral to customs enforcement authorities.
3. Chargeable Weight, Pricing & Billing Formulas
International aviation and maritime carriers charge freight based on either actual dead weight or volumetric displacement, whichever is greater:
• Air Freight Volumetric Formula: (Length × Width × Height in cm) ÷ 6000 = Volumetric kg. Whichever is greater between scale weight and volumetric weight is billed.
• Sea Freight (CBM) Formula: (Length × Width × Height in cm) ÷ 1,000,000 = Cubic Meters (CBM). Sea cargo (LCL) is priced per CBM with minimum billing thresholds.
• Payment Terms: Freight invoices and duties must be settled in full prior to release or final doorstep dispatch of cargo in Dhaka, unless an approved corporate credit arrangement is documented in writing.
4. Customs Clearance, Duties & Taxes (NBR Compliance)
Northern Logistics acts as freight forwarder and clearing coordinator before Bangladesh Customs authorities and the National Board of Revenue (NBR):
• Customs Assessment: Custom duties, VAT, Advance Tax (AIT/AT), and regulatory surcharges are determined independently by Bangladesh Customs based on current tariff schedules and product assessment.
• Physical Inspection & Random Holds: Customs authorities reserve the sovereign right to inspect, examine, or open any consignment (Green, Yellow, or Red lane clearance). Delays resulting from formal customs scrutiny or valuation queries are beyond the carrier's control.
• Regulatory Permits: Goods requiring BSTI certification, Bangladesh Telecommunication Regulatory Commission (BTRC) NOC, or Drug Administration (DGDA) approval must have necessary documentation arranged prior to departure.
5. Prohibited, Hazardous & Restricted Cargo
Northern Logistics operates under a zero-tolerance policy regarding illicit, hazardous, or legally banned merchandise. Tendering any of the following items is strictly prohibited:
• Firearms, weapons, ammunition & explosives
• Narcotics, psychotropic substances & illegal drugs
• Flammable liquids, corrosive acids & gas canisters
• Counterfeit, pirated or trademark-infringing goods
• Precious bullion, uncut gems, currency & bearer bonds
• Pornographic, subversive or politically sensitive media
Special Regulated Goods: Pure lithium batteries, power banks, liquids, and pastes require specialized DG (Dangerous Goods) clearance protocols and separate cargo slots. Customers must declare these prior to dispatch from China warehouses.
6. Transit Schedules, Delays & Force Majeure
Quoted transit durations are standard operational estimates calculated from flight departure or vessel sailing dates, not guaranteed arrival commitments:
• Air Freight Transit: 5 – 10 Business Days from flight departure to Dhaka arrival and customs clearance.
• Sea Freight Transit: 35 – 40 Business Days from container vessel departure to Chittagong port docking, de-stuffing, and inland transport.
• Force Majeure: Northern Logistics shall not be liable for losses, damages, or transit delays resulting from natural disasters (typhoons, storms), port congestion, airline technical cancellations, civil strikes, customs IT server outages (e.g. ASYCUDA World), or Chinese New Year / Eid factory holiday gridlocks.
7. Warehousing, Free Storage & Demurrage Fees
Upon successful customs clearance and arrival at our distribution hub in Dhaka, the Customer will receive an automated readiness notification:
• Free Grace Period: The Customer is entitled to seven (7) calendar days of free warehousing starting from the date arrival notification is dispatched.
• Demurrage Charges: Following the 7-day grace window, demurrage storage fees of 50 BDT per kg per day (or 200 BDT per CBM per day for ocean cargo) will accrue automatically.
• Abandoned Cargo Lien: Any consignment remaining uncollected or unpaid for more than thirty (30) calendar days shall be deemed abandoned. The Company reserves the legal lien and right to auction or dispose of abandoned cargo to recover unpaid freight and storage costs.
8. Limitation of Liability & Claims Procedure
In the event of physical cargo damage or verified partial loss during international transit, claims must strictly follow these protocols:
• Reporting Window & Evidence: The consignee must inspect exterior carton integrity upon delivery. Any damage or discrepancy must be noted on the delivery receipt and reported to our claims desk within 48 hours of physical receipt, accompanied by clear unboxing video footage, outer carton photos, and shipping label snapshots.
• Standard Liability Caps: In the absence of declared value and dedicated third-party transit cargo insurance, the Company's liability for verified physical loss or damage caused directly by gross negligence shall not exceed $10 USD per kilogram or the invoice cost of damaged items, whichever is lower.
9. Governing Law & Jurisdiction
These Terms and Conditions and any dispute or claim arising out of or in connection with their subject matter shall be governed by, and construed in accordance with, the substantive laws of the People's Republic of Bangladesh.
The courts located in Dhaka, Bangladesh shall have exclusive jurisdiction to settle any dispute or legal proceeding arising under or related to carriage services provided by Northern Logistics International.
